Regulatory Landscape

Most states bar nonlawyer ownership of law firms under Model Rule 5.4, so investors partner through MSOs. Only Arizona broadly licenses ABSs, and Colorado, Illinois and California each tightened rules on investor fees or control in 2026.

Two Paths to Outside Capital

MSO Model ABS Model
Practice Ownership Attorneys own 100%; investors own MSO Nonlawyers can own equity in the firm
Investor Economics Fixed or FMV service fees; no fee share Direct share of law firm profits
Owner Liquidity Upfront cash plus MSO rollover equity Sale of an equity stake in the firm
Where It Is Used Most states, within fee-sharing rules Arizona; narrower paths in the Utah sandbox, D.C. and P.R.
Recent Limits CO, IL bar fees tied to firm revenue or profits; CA bars investor control of cases CO bans ABS fee sharing on CO work; CA restricts out-of-state ABS fees
Examples Orion (Uplift), Nova (Alpine), Rafi KPMG Law US, Aprio, Axiom, Elevate

Common Structural Protections in MSO Transactions

Service Fee Design

Fixed, cost-plus or fair-market-value fees for services rather than a percentage of legal fees

Attorney Independence

Lawyers retain legal judgment, case acceptance, client relationships and settlement authority

Regulatory Put

Transactions may include a regulatory put requiring the firm to buy back MSO assets at a preset price if a regulator invalidates the structure

Put Payment Terms

Put prices are typically paid in installments over 3 – 5 years; MSO rollover equity is usually extinguished

Institutional Capital & Deal Activity

Institutional capital has moved from early ABS and MSO experiments to scaled platforms. Sponsor-backed buyers accounted for one-third of legal services deals through Q3 2026 and more than half of the sector’s most notable recent transactions.

Milestones in Institutional Investment

Timeline of institutional investment in legal services from 2021 to September 2026, including Alpine’s backing of Nova Law Group, KPMG’s Arizona ABS license, the formation of Orion Legal MSO, Rafi Law Services’ $125 million raise, and Uplift’s $670 million debut fund.
