Sellside transactions for private companies are usually marketed in a parallel path to both financial and strategic buyers in order to maximize value to the seller and to evaluate alternatives. Strategic buyers will usually want to buy all of the company, while financial buyers will typically want to buy a majority interest but require a management team to run the company post closing. Very often, company owners like the idea of taking “two bites of the apple” by selling a majority interest and thereby achieving significant liquidity, while rolling over a minority interest in the company and staying on to manage the company going forward.
